This Kitchen Remodel Contract (“Agreement”) dated (Enter Date) (“Effective Date”) is between the following:

WHEREAS the Client intends to pay the Contractor for Work provided, under the following terms and conditions:

1. The Property

The Client desires to remodel the kitchen of the property located at (Property.Address) (“Property”), and desires to retain the Contractor for that purpose.

The Client affirms that they have the legal right to obtain remodel work at the Property.

2. Scope of Work

In remodeling the Property, the Contractor agrees to perform the following work:

3. Payment

In consideration for the Work to be performed by the Contractor, the Client agrees to pay the following: (check one)

5. Expenses

Responsible for all expenses related to providing the Work under this Agreement. This includes, but is not limited to, supplies, equipment, operating costs, business costs, employment costs, taxes, Social Security contributions/payments, disability insurance, unemployment taxes, and any other cost that may or may not be in connection with the Work provided Contractor.

Reimbursed for the following expenses that are attributable directly to the Work performed under this Agreement: (List expenses that will be reimbursed). The Client will be required to pay the Contractor within thirty (30) days of any Expense after receiving an itemized expense statement from the Contractor. Upon request by the Client, the Contractor may have to show any receipt(s) or proof of purchase for said Expense(s).

6. Change Orders

Any additional work or modifications to the work as described in the scope of work (Section 2) shall require a change order. A change order is a formal document listing the materials and labor required for services not listed in the original home improvement contract and must be signed by both the Client and Contractor.

7. Property Access

Client agrees to provide Contractor’s employees and subcontractors with reasonable access to the property where the kitchen remodel project occurs.

The Contractor agrees to make reasonable efforts to prevent disturbance or damage to the property or surrounding areas.

8. Liability Insurance

The Contractor agrees to bear all responsibility for the actions related to themselves and their employees or personnel under this Agreement. In addition, the Contractor agrees to obtain comprehensive liability insurance coverage in case of bodily or personal injury, property damage, contractual liability, and cross-liability (“Liability Insurance”).

The minimum amount for the Liability Insurance shall: (check one)

9. Termination

In addition, the Client or Contractor may terminate this Agreement and any obligations stated hereunder, with reasonable cause, by providing written notice of a material breach of the other party; or any act exposing the other party to liability to others for personal injury or property damage.

10. Option to Terminate

11. Business Licenses, Permits, and Certificates

The Contractor represents and warrants that all they are licensed to perform remodeling work in the state of (Enter state) and that to that end, they have a license number of (Enter license number); and further, that all employees and personnel associated shall comply with federal, state, and local laws requiring any required licenses, permits, and certificates necessary to perform the Work under this Agreement.

12. Independent Contractor Status

The Contractor, under the code of the Internal Revenue Service (IRS), is an independent contractor, and neither the Contractor’s employees or contract personnel are, or shall be deemed, the Client’s employees.

13. Final Inspection

A final inspection will be made by the Client and Contractor upon the completion of the kitchen remodel. At that time, the Client will have the opportunity to identify any unsatisfactory or incomplete work.

The Contractor agrees to remedy any issues discovered during the final inspection as soon as reasonably possible and to allow the Client to delay final payment until such issues are remedied and approved by the Client.

14. Warranty

The Contractor guarantees that all home improvement work shall be carried out in a professional manner with quality workmanship. The Contractor shall make every effort to blend all surface colors and textures with existing ones but cannot guarantee exact matches. Material warranties are not offered by the Contractor and are limited to manufacturers’ warranties.

The Contractor shall guarantee the quality of all labor and installation performed for a period of warranty months. This warranty covers any fault or failure of installation or construction associated with the home improvement project. The warranty does not cover ordinary wear and tear, abuse, neglect, or acts of God.

15. Governing Law

This Agreement shall be governed under the laws in the State of (Enter state).

16. Acceptance

By signing below, the Client and Contractor agree to the scope of work, payment terms, and terms and conditions of this kitchen remodel contract.
