This Fee Agreement (hereinafter referred to as the “AGREEMENT”) made and entered into this [Document.CreatedDate], by and between:

Description of Services

Service Provider will provide the Client with the following services:

Terms

By the terms of this Agreement, the services may begin on the date of this Agreement and shall continue in full force and effect until the completion of the services or as otherwise agreed by the Parties in writing in the Contract.

Fee and Payment Terms

The Client shall pay the Service Provider a Fee of (insert the fees for the services; for example, $300 per hour, or $4,000 per month.).

The Service Provider shall submit an invoice to the Client at the end of each month for work completed during that month.

The Client shall pay the invoiced amount within (insert number) days of receipt of the invoice.

The Client agrees that any payment not received by the Service Provider within (insert number) days of the due date shall accrue late penalties at the rate of (insert percentage) per month of the outstanding balance.

Taxes, Levies, Duties

The Fee does not include any taxes, levies, duties, or similar charges, which may be imposed by any governmental authority on the provision of services under this Agreement. The Client shall be responsible for paying all such taxes, levies, duties, or charges.

Reimbursement

Client shall reimburse the Service Provider for all reasonable and necessary out-of-pocket expenses incurred by the Service Provider about the provision of services under this Agreement, including but not limited to travel and accommodation expenses.

The Service Provider shall submit to the Client an itemized expense report within (insert number) days of incurring such expenses, and the Client shall reimburse the Service Provider within (insert number) days of receiving such report.

Termination

The Client and the Service Provider both have the right to terminate this Agreement at any time for any reason. However, such termination shall be valid only with a written notice sent to the other party (insert number, e.g., 7, 10, 15) days before the effective date of termination. The Client will be liable to pay the Service Provider for all work completed up to the date of termination.

Assignment

The Client shall not assign or transfer any of their rights under this Agreement without the prior written consent of the Service Provider.

Confidentiality

During the term of this Agreement and at all times thereafter, the Service Provider shall keep in the strictest confidence all confidential information regarding the Client and shall not disclose such information to any person without the prior written consent of the Client.

Governing Laws

This Agreement shall be governed by and construed by the laws of the State of [Client.State].
