This food service contract is by and between [Sender.Company], the Provider, and [Client.Company], the Client. The contract is entered into as of [Contract.CreatedDate] and shall remain in effect until [Contract.ExpirationDate] unless cancelled pursuant to the terms listed below.
WHEREAS the Client wishes to engage the Provider as a food service vendor at [Facility.Name], the Facility, and the Provider is willing to provide such services, both parties agree to the terms described herein:
Scope of Services
The Provider shall provide staffing for the Client’s food service area at the Facility. Staffing shall include all front and back end positions, including cashiers, chefs, and associated support roles but excluding facility roles such as janitors or maintenance positions.
The Provider shall be fully responsible for ordering and maintaining necessary food service supplies, preparing & selling food to customers, and performing basic sanitation such as sweeping, mopping, and dish washing.
The Client shall be responsible for providing all necessary facilities and equipment, for major housekeeping such as waxing floors, disinfecting, cleaning vent hoods, and cleaning grease traps, as well as for providing or performing any necessary facility or equipment maintenance.
Payment
The Provider shall invoice the Client on a monthly basis. Each invoice shall include line items for personnel and for any supplies or ingredients which were ordered during the preceding month. The Provider agrees to invoice the Client for any ingredients or supplies ordered at cost, without markup or additional fees. Personnel shall be billable at their assigned hourly rates, with overtime pay billed in accordance with standard labor laws.

Right to Terminate
The Provider shall have the right to terminate this food service contract by providing written notice to the Client for the following reasons:
Failure to pay by Client
Inadequate Facilities
Client or Provider Bankruptcy
Should the Provider cancel this food service contract for any of the above reasons, the contract shall be considered terminated with cause in accordance with applicable law.
The Client shall have the right to cancel this food service contract by providing written notice to the Provider for the following reasons:
Inadequate Staffing
Health Code Violations
Failure to properly use and maintain facilities in accordance with the listed scope of services
Failure to provide adequate food services to customers
Likewise, should the Client cancel this food service contract for any of the above reasons, the contract shall be considered terminated with cause in accordance with applicable law.
Contract Renewal
This food service contract must be renewed prior to its expiration date in order to ensure the Provider continues to provide food services and staffing at the Facility. Failure to renew the contract prior to expiration may lead to a lapse in services.
Inspections
The Client shall have the right to periodically inspect the Facility to ensure that the Client is adhering to the terms of this food service contract and particularly to applicable food service regulations and public safety regulations.
Independent Contractor
The Provider shall be classified as an independent contractor. Neither the Provider nor their employees may be classified as employees of the Client.
No Solicitation
The Client shall not be permitted to solicit the Client’s employees as potential employees of the Client for any reason whatsoever.
Licensing
The Provider shall be solely responsible for procuring and maintaining all licenses, permits, and authorizations required of a food service provider by law.
Liability
Both the Client and Provider agree to indemnify and hold one another harmless against any and all claims of loss or damage, save in cases of gross negligence or willful misconduct.
This food service contract shall be governed by the laws of [Sender.City], [Sender.State].
Contract Acceptance
By affixing their electronic signatures below, both parties hereby enter into and swear to abide by and uphold the terms of this food service contract.
