This Marketing Consulting Agreement (the "Agreement") is entered into as of (state the date) (the "Effective Date") by and between [Consultant.FirstName][Consultant.LastName] (the "Consultant") and [Consultee.FirstName][Consultee.LastName] (the "Consultee"), referred to herein collectively as the "Parties."

1. Purpose of the Agreement

1.1 This Agreement aims to define the terms and conditions under which the Consultant will provide consulting services for the Consultee in marketing (the "Services").

2. Entire Agreement

2.1 This Agreement constitutes the entire Agreement between the Parties regarding the subject matter herein and supersedes any prior or contemporaneous oral or written agreements.

3. Services

3.1 Develop strategies for Consultee's marketing efforts, including but not limited to website content, social media campaigns, advertising campaigns and promotional materials.

3.2 Track progress of marketing initiatives and report results to Consultee.

3.3 Provide guidance and advice on market trends and competitor activities.

3.4 Develop and present marketing plans and reports as needed.

3.5 Any additional services that the Consultee may request from time to time.

4. Ownership Rights

4.1 The parties acknowledge that any work product created by Consultant under Services, shall remain the exclusive property of Consultee, and Consultant shall assign all ownership rights of such work product to Consultee.

5. Fees and Payments

5.1 In consideration for the Services provided by Consultant hereunder, Consultee agrees to pay Consultant an amount equal to (state the amount) per (state the basis) (the "Fee").

5.2 In addition, the Consultee shall reimburse the Consultant for all reasonable and necessary expenses incurred in connection with the performance of the Services, subject to the submission of appropriate documentation.

6. Miscellaneous

6.1 Representations and Warranties

6.1.1 Both parties represent and warrant that each has the full right, power and authority to enter into this Agreement and to perform its obligations hereunder.

6.1.2 Both Parties acknowledge that the execution and performance of this Agreement do not violate any agreement either Party may have with any third party.

6.1.3 Both Parties represent and warrant that they shall comply with all applicable laws, rules, regulations and orders in the performance of this Agreement.

6.1.4 Both Parties represent and warrant that all information provided by them in this Agreement or otherwise in connection with the performance of this Agreement is accurate and complete.

6.2 Liability

6.2.1 Consultant shall have no liability to Consultee for any indirect, special, or consequential damages.

6.2.2 Consultee shall indemnify and hold Consultant harmless from any losses, damages, fines, liabilities, claims, or suits arising from or concerning this Agreement.

6.3 Dispute Resolution

6.3.1 In order to foster harmony when faced with any disagreement, it is essential that both parties work toward a mutual understanding and strive for peaceful solutions.

6.3.2 If the dispute escalates, it shall be under (state what the Agreement shall be construed and governed by).

6.4 Severability

6.4.1 If any provision of this Agreement is held by a court of competent jurisdiction to be invalid or unenforceable, then such provision shall be enforced to the maximum extent permissible to effectuate the intent of the Parties

6.4.2 The remainder of this Agreement shall remain in full force and effect under its terms.

6.5 Confidentiality

6.5.1 The Parties agree to maintain the confidentiality of all information received from each other in connection with this Agreement.

6.5.2 Each Party hereby agrees that it shall not disclose or use any such confidential information without the prior written consent of the other Party.

6.5.3 The parties shall not use or disclose confidential information except as required for the performance of their obligations hereunder or as required by law.

6.6 Amendment

6.6.1 All amendments or modifications to this Agreement shall be in writing and signed by both parties.

6.6.2 No verbal amendments shall be recognized as valid.

6.7 Force Majeure

6.7.1 Should either Party be unable to fulfill their contractual obligations due to circumstances that are out of their control, this shall not constitute a breach of contract.

6.7.2 Force majeure is demonstrated by divine interventions, armed conflicts, civil unrest, pandemics, floods and other calamities of nature.

6.7.3 Should any such event occur, the affected Party shall receive a reprieve from their obligation for as long as said circumstances persist.

6.7.4 When the effects of force majeure have ended, all parties involved must return to their respective duties.

6.8 Jurisdiction

6.8.1 This Agreement shall be construed and governed under (state what the Agreement shall be construed and governed by).

6.9 Term and Termination
